YOUR MISSIONS

Under the authority of the Legal Manager, the Senior Legal Counsel will act as a commercially-oriented business partner of the Dev and IPP operation teams  in providing support and advice on all legal aspects of the renewable energy projects (in all their full lifecycle), on all geographies and on all technologies (solar, wind, BESS, etc.):

  • Support preparation and revision of public tenders and submission of documentation, ensuring compliance with regulatory requirements across jurisdictions, and validate binding documents including bid bonds and consortium/cooperation agreements (where projects are developed with third parties)
  • Securise real estate and environmental aspects of a project
  • Draft, review and negotiate all contractual aspects of a Dev and/or IPP project: NDAs, LoIs, MoUs, construction contracts (EPC, etc.), operation agreements (O&M, LTSA, etc.), TSO agreements, PPAs, hedges, etc., contributing to risk assessment across all business activities
  • Provide advise on project financing and ancillary documents (direct agreements, guarantees, etc.) with a view to addressing the risks of the project and ensuring its bankability. Support in the preparation of financial close, satisfaction of CPs, waivers, etc.
  • Securise potential claims and define/implement litigation strategies with respect to a project
  • Draft, review and negotiate LoI, MoUs, SHAs where projects are developed through joint ventures
  • Assist in implementing co-dev/co-invest platforms
  • Contribute to the risk assessment of the projects and propose remediation measures, in particular draft the notes and memos to be provided to the commitment committee, the management and/or the board of directors
  • Provide legal guidance and innovative solutions to different internal teams
  • Manage regulatory matters across geographies, including antitrust matters
  • Mandate and coordinate lawfirms involved on the projects
  • Participation and collaboration in the modernization of the legal department (heading transverse workstreams)
  • Protect the group’s reputation and protect the group and the management against criminal risks
  • Monitor, report and advise on the progress of negotiations across projects
  • Legal and regulatory survey
 

 

QUALIFICATIONS & EXPERIENCES

  • Degree in Business Law (civil law and/or common law)
  • 10 years of experience in Business Law and more particular on energy/infrastructure projects
  • In depth, extensive knowledge in renewable energy projects and international tenders
  • General knowledge in commercial negotiations and project financing
  • Aptitude in handling complex commercial negotiations and dealing with emergencies
  • Capacity to manage a team and coordinate with other departments in a business and team spirit mode
  • Must have international experience, with a commercial profile
  • Proficiency in English language. French is a plus.
  • Proficiency in office tools (Excel, Word, PowerPoint, Outlook, MS Project, etc.)
