The Legal Specialist will be working on legal matters of the legal entities of the Company as well as on corporate law matters for Company’s subsidiaries as well as in financing and restructuring operations for Company’s subsidiaries and the Voltalia group. - Prepare documentation for ordinary and exceptional operations for companies in the Netherlands, ensuring that such documentation protects the interests and needs of Voltalia and its subsidiaries in compliance with the company’s policies and procedures.
- Support for M&A transactions, cross-border corporate or commercial transactions by ensuring any commitment from the Company is in line with its interests as well as with Group policies.
- Ensure compliance with the rules and regulations of the Dutch Central Bank and/or related legislation.
- Participate in the elaboration and implementation of the group policies and ensure compliance with such policies across the Group.
- Ensure the setup of subsidiaries in the Netherlands when required and oversee the incorporation of companies with the Legal team abroad.
- Draft of legal documents for companies in the Netherlands and verification of satisfaction of Group policies and interest for its subsidiaries based in other jurisdictions.
- Prepare the agenda and board pack for meetings, attendance and preparation of minutes of Shareholder and Board meetings.
- Collect of KYC/AML documents/information and completing risk rating.
- Monitor the legalisation of documents, translations, signatures and the obtention of notarial certifications and apostilles.
- Participate in or overseeing the filing of legal documentation before the competent authorities, as well as appropriate storage in the dedicated tools and/or registers.
- Embrace the role of VMI as an active shareholder of its affiliates, while respecting local independence
- Communicate with the various internal departments to collaborate proactively with the workflow of the business.
- Review and assessment of relevant legal documentation and advices from third parties.
- Build up a strong working relationship with internal clients, in particular with the finance team (Accounting, administrative, project finance, treasury, taxes, audit, internal control…) at the Headquarter and at a local level, as well as with external stakeholders such as, notaries, external advisors, banks and regulatory bodies.
- Prepare and execute share transfers, in close co-operation with the Headquarters, notary, law firms and tax firms.
- Participate in project financing files at the request of the finance team, by providing pragmatic comments on the documentation submitted, proposing creative solutions to meet the needs of the project while securing the company's interests, actively participating in obtaining the documents to satisfy the CPs and closing the contracts.
- Handle all day-to-day requests from the company, keeping information updated in the reporting tools.
REQUIREMENTS
- Master in Corporate Law
- 5 - 7 years' experience as a Lawyer or Associate in a law firm or an international company with several subsidiaries across different geographies.
- Theoretical and practical knowledge of company law.
- Practical knowledge of drafting company legal documents (Articles of Association, minutes, powers of attorney, etc).
- Fluency in English.
- Proficiency in Microsoft Office (Word, Excel, Power point) and legal software (such as Dilitrust)
- Availability to travel mainly in Europe and visit the Headquarters in Paris.
